岗位职责和要求
Commercial Contracting & Negotiation
Draft, review, and negotiate a broad range of commercial agreements and auxiliary documents (e.g., procurement of goods/services, IT/SaaS, consulting, financing contracts, admin agreements, NDA, authorization, license etc.), referring to approved templates or drafting from scratch and ensuring compliance with Delegation of Authority and contract Policies. Advise on appropriate contract structures to balance agility and risk.
Legal Research & Legal Impact Analysis
Conduct legal and regulatory research and produce impact assessments that translate laws and policies into business-oriented options. Evaluate implications on company strategy, operating models, and risk profiles. Monitor legislative trends and recommend implementation pathways. Offer feedback or revision suggestion for draft laws/regulations.
Litigation & Dispute Management
Manage pre-litigation assessments, evidence preservation, settlement strategies, and coordinate external counsel through litigation/arbitration processes. Report dispute status and feed lessons learned into policy and template improvements.
Labor Law Support
Provide labor and employment advisory, including policy review, employee relations, non-compete & trade secrets management and dispute support in partnership with HR.
Compliance Operations Enablement
Support compliance project assessments, coordinate and enable rollout of compliance policies and SOPs and legal advisory & support for handling of specific discipline cases (where necessary).
Corporate Law & Governance
Handle routine corporate matters such as entity filings, board/shareholder documentation, PoA/chop governance, and maintain audit-ready records.
Operational Support to Central Teams
Provide legal support to central functions such as C&P on template interpretation, risk allocation, and training to ensure policy-compliant execution.
Patent Support & Common IP tasks
· Gain an in-depth understanding of the company's product technologies, formulas, process flows, software/algorithms, participate in the analysis and exploration of technical disclosure documents, refine technical innovation points, and assist IP head in formulating effective patent protection strategies.
· Assist IP head in completing FTO analysis and patent risk assessment for new products and technologies, providing decision support for R&D initiative and product launch.
· Provide support for patent-related technical contracts and handle life cycle management of patents including application, maintenance, and invalidation; and those with commercial IP experience in the fields of trademarks and copyrights are preferred.
